Terms of Service

Please read this Agreement carefully before creating an account or transacting on ALONE Marketplace. By registering, you agree to be legally bound by these terms under the laws of Jamaica.

Section 01

Introduction, Acceptance and Electronic Validity

This Terms of Service Agreement (the "Agreement") is a legally binding electronic contract between you (as a "Buyer", "Seller", or "User") and A.L.O.N.E. Marketplace, a commercial division of A.L.O.N.E. (A Life of New Experiences) (the "Company", "we", "us"). It governs your access to and use of ALONE Marketplace — including all associated web pages, mobile applications, and underlying software infrastructure (the "Platform") — which facilitates the discovery, negotiation, and transaction of goods across multiple categories.

By registering an account, using the Add to Cart checkout feature, initiating or accepting a Make an Offer request, or subscribing to vendor services, you expressly confirm that you have read, understood, and agreed to be bound by this entire Agreement.

Electronic Validity under Jamaican Law: Pursuant to the Electronic Transactions Act 2006 (Jamaica), your digital interactions on this Platform — including the clicking of confirmation buttons and the submission of electronic data — carry the equivalent legal validity, enforceability, and admissibility as a handwritten signature on a physical document. No transaction or electronic document generated on this Platform shall be denied legal effect solely because it was created, stored, or communicated electronically.

Section 02

Definitions and Roles

To ensure clarity and alignment with Jamaican statutory frameworks, the following definitions apply throughout this Agreement:

  • Consumer / Buyer: Any individual or entity using the Platform to acquire goods for their own private use or consumption — mirroring the statutory definition in the Consumer Protection Act (Jamaica).
  • Provider / Seller / Vendor: Any individual, peer-to-peer user, commercial enterprise, or registered corporate entity listing goods for sale on the Platform.
  • Electronic Document: Any data, text, images, codes, or computer programs communicated electronically to facilitate a transaction on the Platform.
  • Originator: The person by whom, or on whose behalf, an electronic document is generated — explicitly excluding the Platform when acting solely as an intermediary.
  • Platform: The ALONE Marketplace website, applications, and all associated digital infrastructure operated by the Company.
  • Transaction Fee: The fee charged by the Platform upon the successful completion of a sale, calculated in accordance with the fee schedule in Section 5.
Section 03

Platform Status, Intermediary Liability and Agency

ALONE Marketplace functions exclusively as a digital intermediary and technological facilitator. We provide the electronic marketplace infrastructure that connects Buyers and Sellers. The Company is not a party to the underlying contract of sale executed between a Buyer and a Seller, and does not take ownership, physical possession, or legal title of any goods listed by Users.

The Platform does not warrant or guarantee the physical existence, quality, safety, or legality of items advertised, nor the accuracy or provenance of user-generated content. In accordance with the Electronic Transactions Act provisions on intermediary liability, the Platform shall not be held liable for the content of electronic documents generated by Originators (Sellers), provided the Platform adheres to agreed security procedures and acts promptly to remove unlawful material upon proper notification.

Your contract is with the Seller, not with ALONE Marketplace. The Platform provides the infrastructure for the transaction; the Seller is solely responsible for the accuracy of listings, the quality of goods, and all post-sale obligations.

Section 04

Mandatory Vendor Obligations and Statutory Compliance

All Sellers operating on ALONE Marketplace, regardless of subscription tier, are strictly bound by the obligations in Part IV and the Second Schedule of the Electronic Transactions Act (ETA). To maintain active listings, Sellers must transparently display the following mandatory disclosures to Buyers before any transaction:

  • Full legal identity and name of the Seller.
  • A valid geographical and physical address, active email address, and direct contact telephone numbers.
  • Where applicable: corporate registration status, registration numbers, and place of registration.
  • Membership in any regulatory or accreditation bodies, including contact information for those bodies.
  • Any professional Codes of Conduct to which the Seller officially subscribes.
  • An accurate, comprehensive, and non-deceptive description of the goods, including whether they are locally manufactured or imported.
  • The absolute final cost of the item, encompassing all delivery, courier, and logistics fees — displayed prior to checkout.

Material Breach: Failure by any Seller to adhere to these transparency mandates constitutes a material breach of this Agreement, subjecting the Seller to immediate account suspension and potential regulatory referral to the Consumer Affairs Commission (CAC) of Jamaica.

Sellers are also required to complete our Know Your Customer (KYC) verification process before listing high-value items (vehicles, major appliances). Listings in these categories will remain inactive until KYC is approved.

Section 05

Transaction Mechanics, Fees and Subscriptions

Transaction Pathways

  • Add to Cart: Completing the checkout process constitutes a legally binding commitment by the Buyer to purchase the item at the listed price, plus all applicable taxes, delivery fees, and Platform transaction fees.
  • Make an Offer: Offers submitted by Buyers are non-binding inquiries until explicitly accepted by the Seller through the Platform interface. Upon digital acceptance, the agreed price becomes the binding transaction value and the applicable fee is recalculated on that final price.
  • Subscribe: Commercial Sellers may enrol in recurring subscription tiers. Subscriptions provide specified benefits including fee reductions. Subscription fees are billed automatically on a monthly cycle until cancelled prior to the next billing date.

Platform Fee Schedule — Category-Based Model

The following fee structure applies by asset category. All fees are displayed in full before final checkout in compliance with the ETA transparency requirements.

Payment gateway processing fees of approximately 2.5%–4.5% (charged by the payment provider, not by ALONE Marketplace) apply to all transactions and are displayed separately at checkout.

GCT Notice: General Consumption Tax at 15% is applied to all applicable transactions in compliance with Jamaican tax law. GCT is calculated on the final agreed price and itemised separately on your electronic receipt.

Section 06

Consumer Rights, Proof of Purchase and Electronic Receipts

In compliance with the Consumer Protection Act (CPA) of Jamaica, the Platform automatically generates and transmits an electronic receipt for every successfully completed transaction. This Electronic Document constitutes valid and adequate proof of purchase for the purposes of refunds and statutory redress.

Each automatically generated receipt shall include:

  • The total aggregate amount paid, itemised by product cost, platform transaction fee, GCT, and delivery or logistics fees.
  • The exact timestamp and date on which the purchase was legally executed.
  • A comprehensive, immutable description of the goods as they appeared at the time of purchase.
  • The Seller's identity and contact information as registered on the Platform.
  • A unique transaction reference number for dispute tracking.

Your Right to Information: Under the Consumer Protection Act, you are entitled to receive all material information concerning goods prior to purchase. Sellers are contractually obligated to provide this information accurately. If a Seller fails to do so, you may report the issue through the Platform's dispute system or directly to the Consumer Affairs Commission.

Section 07

Warranties, Used Goods and the Right to Redress

Explicit Warranties

Any warranty provided by a local or foreign manufacturer attached to new electronics or appliances is legally extended to the Seller on this Platform. The Seller is deemed fully liable to the Buyer in relation to such explicit warranties under the Consumer Protection Act.

Implied Warranties on Used Goods

Under the Consumer Protection Act, implied warranties apply to the sale of all used goods and to the repair of all goods in the absence of explicit warranties. Both Buyers and Sellers acknowledge this provision. Sellers cannot contractually waive this statutory implied warranty.

Defective Goods and Your Right to Redress

If a purchased item — including second-hand vehicles, refurbished electronics, and used appliances — fails to provide the Buyer with the benefit or uninterrupted enjoyment for which it was intended, or is discovered to be defective contrary to the Seller's description, the Seller is strictly obligated by Jamaican law to:

  • Repair or replace the goods at no cost to the Consumer; or
  • Provide a full refund or exchange within the circumstances prescribed by the Consumer Protection Act.

Cooling-Off Period

In accordance with the Electronic Transactions Act, specified electronic transactions may be subject to a statutory cooling-off period. Buyers may be entitled to cancel certain transactions within the prescribed timeframe without penalty, subject to return of goods in their original condition. The applicable cooling-off period, where it applies, will be stated at checkout.

Important: Warranty obligations and liability for defective goods rest entirely with the Seller, not with ALONE Marketplace. The Platform provides dispute resolution mechanisms to assist but does not assume liability for Seller obligations under the Consumer Protection Act.

Section 08

Prohibited Conduct and Unfair Business Practices

The integrity of the marketplace is paramount. All Users are strictly prohibited from engaging in the following conduct, which violates both this Agreement and the Consumer Protection Act:

  • Conduct that is misleading, deceptive, or likely to mislead the public regarding the origin, manufacturing process, or characteristics of any goods listed.
  • Making false or misleading representations in relation to goods, pricing, condition, or availability.
  • Advertising goods at a stated price without genuine intent to supply at that price (bait-and-switch practices).
  • Transmitting unsolicited commercial communications to other users without providing a clear, electronic opt-out mechanism, as required by the Electronic Transactions Act.
  • Listing stolen, counterfeit, recalled, or legally prohibited goods.
  • Attempting to conclude transactions outside the Platform to circumvent fees after using the Platform for discovery (disintermediation).
  • Creating multiple accounts to circumvent suspension, listing limits, or KYC requirements.
  • Manipulating the offer system, feedback mechanisms, or dispute process to defraud other Users.

Enforcement: The Company reserves the right to unilaterally suspend or permanently terminate the accounts of any User found to be in breach of this section, without prior notice where immediate action is required to protect other Users or the integrity of the Platform. Serious breaches may be referred to the Consumer Affairs Commission, the Fair Trading Commission, or the relevant law enforcement authorities.

Section 09

Limitation of Liability and Statutory Negligence Exception

To the maximum extent permitted by applicable Jamaican law, the Company, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of revenues, or loss of data arising from your use of the Platform or the conduct of any third-party Seller or Buyer.

Statutory Exception — Non-Negotiable: Notwithstanding any other provision in this Agreement, and in absolute compliance with the Consumer Protection Act, no term of this Agreement shall be construed as excluding or restricting the Platform's or any Seller's liability for death or personal injury resulting from negligence. Any contractual term purporting to exclude this liability is void under Jamaican law.

The Company's total aggregate liability to you for any claims arising under this Agreement shall not exceed the total platform fees paid by you to the Company in the three months preceding the event giving rise to the claim.

Section 10

Data Retention, Evidence and Privacy

In compliance with the information technology requirements of the Electronic Transactions Act, the Platform systematically retains records of all electronic communications, transaction histories, security procedure data, and user interactions for the period required by applicable law.

Users acknowledge that these stored electronic documents:

  • Hold statutory evidential weight and are fully admissible in legal proceedings, mediations, or regulatory reviews.
  • May be provided to the Consumer Affairs Commission, the Fair Trading Commission, or other competent authorities upon lawful request.
  • Are retained using security standards aligned with accepted international best practices, as referenced in the Electronic Transactions Act provisions on privacy and security.

Your personal data is processed in accordance with our Privacy Policy, which forms part of this Agreement by reference. We do not sell, rent, or trade your personal information to third parties for marketing purposes without your explicit consent.

Digital Paper Trail: Every accepted offer, completed checkout, and sent message on the Platform creates a legally admissible electronic record. This protects both Buyers and Sellers in the event of any dispute.

Section 11

Governing Law, Jurisdiction and Dispute Resolution

This Agreement, and the relationship between Users and the Platform, is exclusively governed by, construed, and enforced in accordance with the laws of Jamaica, without regard to conflict of law principles.

Dispute Resolution Process

  • Internal Resolution: Users must first submit a dispute through the Platform's built-in dispute resolution system. The Company will endeavour to facilitate a resolution within 10 business days.
  • Regulatory Escalation: If internal resolution fails, Users retain the absolute right to escalate the matter to the Consumer Affairs Commission (CAC) or the Fair Trading Commission (FTC) of Jamaica.
  • Legal Proceedings: Unresolved disputes may be brought before the courts of Jamaica. Both parties submit to the exclusive jurisdiction of the Jamaican courts.

The Company reserves the right to amend this Agreement at any time. Material changes will be communicated to registered Users via email at least 14 days prior to taking effect. Continued use of the Platform following such notification constitutes acceptance of the revised Agreement.

By using ALONE Marketplace you agree to our Terms of Service and acknowledge your rights and obligations under the Electronic Transactions Act and Consumer Protection Act of Jamaica.
